Terms of Service

Last updated 26 October 2026

These Terms are the agreement between you and Nowhere Lab. LLC (“we”, “us”), which operates Namesworn. Namesworn is a performance marketing service. Businesses buy Conversions from us. Promoters provide us the promotion services that produce those Conversions, and we pay them for it. Each Business and each Promoter contracts with us alone. By creating an account or using Namesworn you accept these Terms. If you do not accept them, do not use Namesworn.

1. What Namesworn is, and what it is not

We sell Businesses Conversions, meaning customers who make a paid purchase from the Business after a Promoter referred them. The Business pays us the Price of each Qualified Conversion. To deliver that service we engage Promoters to promote the Business’s Campaigns, and we pay each Promoter a Reward for each Qualified Conversion they bring.

A Business and a Promoter have no contract with each other through Namesworn. A Business does not pay Promoters and owes them nothing. A Promoter has no right against a Business. We do not collect, hold or pass on anyone else’s money. What a Business pays us is the price of our service. What we pay a Promoter is our own payment for a service provided to us.

We are not a party to anything a customer buys from a Business, we do not make or resell what a Campaign promotes, and we make no promise about it.

A Promoter works with us as an independent contractor. A Promoter is not our employee, agent or representative, and is not an employee, agent or representative of any Business. A Promoter decides whether, when, where and how to promote, within the limits in section 5. We set no targets or hours and ask for no exclusivity. A Promoter is responsible for their own taxes.

Namesworn is a product name of Nowhere Lab. LLC, which is the counterparty to these Terms.

2. The words we use

These words carry the meaning given here everywhere in these Terms and in the product.

  • Business — the party that publishes Campaigns and buys Conversions from us.
  • Promoter — a private individual who promotes Campaigns to their own network, as a service to us, in exchange for Rewards.
  • Product — what a Business sells through Namesworn. It has a name, a website and one payment integration; the integration is chosen when the Product is created and never changes. Each Campaign is for one Product for good, and archiving a Product ends its Campaigns.
  • Campaign — what a Business publishes through Namesworn for one of its Products: what to promote, what counts as a Conversion and the Holding Period. Promoters see each Campaign with the Reward we pay for its Qualified Conversions.
  • Price — the amount in USD a Business pays us for each Qualified Conversion in one of its Campaigns. The Business sets it before it publishes the Campaign, and it does not change once the Campaign is published.
  • Campaign Budget — the amount a Business pays us in advance for the Conversions of one Campaign. It is the Price of those Conversions paid early, and the money is ours once paid. It is not a deposit, is not held in trust for anyone, earns no interest, pays only for Conversions in that Campaign, and cannot be transferred to anyone else. We pay Rewards from our own funds, not from Campaign Budgets.
  • Activation — the act by which a Promoter takes up a Campaign, accepts its disclosure obligations and receives their personal tracking link. A Promoter holds at most three Activations at a time.
  • Conversion — a paid purchase by a referred customer, attributed to a specific Promoter and certified automatically. When a purchase renews, only its first payment is a Conversion: a trial counts when it turns into that first payment, and renewals never count. A purchase referred while a Campaign is paused or ended is not a Conversion.
  • Qualified Conversion — a Conversion whose Holding Period has ended with no full refund, chargeback, void or open Dispute, and without the payment provider marking the payment as fraudulent. We charge the Price, and owe the Reward, only for Qualified Conversions.
  • Reward — the amount in USD we pay a Promoter for each Qualified Conversion attributed to them. We set it for each Campaign and show it before a Promoter activates. It is our own debt to the Promoter. A Reward only ever exists for a Conversion that generates revenue for the Business, never for a free event such as a sign-up.
  • Funnel Event — a tracked interaction attributed to a Promoter that is not a certified Conversion: a link click, a page view, a checkout started, or an uncertified purchase. A Funnel Event never generates a Reward.
  • Holding Period — the period after a Conversion during which we check that it holds. It is set per Campaign, is never shorter than the refund window the Business declared for it, and is never longer than 60 days.
  • Clawback — the cancellation of a Reward because, during the Holding Period, its Conversion was refunded in full, charged back or marked as fraudulent by the payment provider, or our recovery of a Reward paid for a Conversion that turns out to be abusive.
  • Earnings — the Rewards we owe a Promoter and have not yet paid.
  • Payout — our payment of a Promoter’s Earnings to the bank account they connected through Stripe.
  • Dispute — the formal challenge to a decision we have taken.

3. Who can use Namesworn

You must be at least 18 years old and able to enter a contract.

A Promoter can be paid only where Stripe Connect covers payouts for us: the United States, the European Economic Area except Iceland, the United Kingdom, Switzerland and Canada. Elsewhere you can put your name on the waitlist but cannot be paid, and we will not pretend otherwise.

A Business is admitted at launch from the European Economic Area, the United Kingdom, Switzerland and the United States, and takes payment for each of its Products through one of the integrations in section 10. This is a scope we chose, and we widen it on demand.

One account per person or organisation. An account is yours alone: do not share it, sell it or run a second one.

A Promoter completes Stripe’s identity verification and gives us the tax information we ask for, such as IRS Form W-9 or W-8BEN, before our first Payout to them. We pay no one who has not done so.

We do not work with or pay anyone who is subject to sanctions, or who lives in or operates from a country or region subject to comprehensive sanctions.

4. Activation and what a Promoter undertakes

Activating a Campaign gives you a personal tracking link and engages you to promote that Campaign for us, at the Reward shown when you activate and under the Campaign’s published terms, including its disclosure obligation. The link is yours alone: do not transfer it, sell it or let anyone else promote under it. We may change a Campaign’s Reward by telling you in advance. A new Reward applies only to Conversions made after the change.

You decide where and how to promote, within the limits below. We do not tell you what to post, and we do not approve your posts in advance — which is exactly why the prohibitions in section 5 are stated as plainly as they are.

Deactivating an Activation frees the slot. Rewards already pending run their normal course, and the link keeps recording Funnel Events without ever producing a further Reward.

5. What is prohibited

The following are prohibited outright. Each one voids the Conversions it produced, and repeated or deliberate breach costs the account.

  • Self-purchase. Buying through your own tracking link, or arranging for anyone you act with or control to do so — including alias addresses of your own email, members of your household, and any account or payment method you control. A Conversion bought this way is not word of mouth, and it is void whether or not it was caught before payout.
  • Promoting your own Business. Activating or promoting a Campaign of a Business that you own or control, from the same account or from any other account you control. A Conversion for your own Business is not word of mouth, and it is void whether or not it was caught before payout.
  • Forced or faked clicks. Making a click a condition of anything, hiding a tracking link inside another element, triggering it without a deliberate click, loading it in a frame or a pop-under, or generating clicks by automated means. Attribution has to follow a real person deciding to look.
  • Spam. Unsolicited bulk messages of any kind — email, SMS, direct messages, comment or forum posting — paid-to-click or incentivised traffic, and any promotion that breaches the rules of the platform it is posted on. Promote to your own network, in places where you are welcome.
  • Unauthorised brand bidding. Buying paid search or social ads on a Business’s brand terms, their close variants or misspellings, or running any ad that could be taken to come from the Business itself, unless that Campaign states in writing that it is allowed.
  • Promoting without disclosure. Every place you promote a Campaign has to carry a clear and conspicuous disclosure that you earn a Reward from it, in the same message and not behind a link. Accepting an Activation is accepting that obligation.

Also prohibited: misrepresenting a product or its price, impersonating a Business or Namesworn, tampering with tracking links or Funnel Events, and asking anyone else to do any of the above.

A Business must not ask a Promoter to do anything prohibited here, and must not publish a Campaign whose terms would require it.

We review samples of what Promoters publish. If something you published breaks this section, we may ask you to correct or remove it, and suspend your link until you do. We owe no Reward for a Conversion that came from a promotion without the required disclosure.

6. Rewards, Holding Period and Payouts

We owe you a Reward for each of your Conversions that qualifies. A Conversion qualifies when its Holding Period ends with no full refund, chargeback, void or open Dispute, and without the payment provider marking the payment as fraudulent. Sign-ups, trials and other free events are Funnel Events and earn nothing.

The Reward is our own debt to you. We owe it whether or not the Business pays us, and you have no right against the Business for it.

If the purchase is refunded in full, charged back or marked as fraudulent by the payment provider during the Holding Period, the Conversion does not qualify and no Reward is owed. That is not a decision of ours and cannot be disputed. A partial refund does not affect the Conversion. Once a Conversion has qualified, nothing that later happens to the purchase affects your Reward, unless section 7 applies.

We pay your Earnings automatically on the 15th of each month, for every Reward that qualified by the end of the previous month, once they total at least $30. Earnings under $30 carry over to the next month. We pay them in any case with our January Payout and when your account closes, whatever the amount. Payouts are free. Rewards are denominated in USD. If your bank account is in another currency — EUR, GBP, CAD, CHF or CZK, for example — your Payout arrives converted by Stripe at the exchange rate it applies at that moment, so the amount you receive in that currency depends on that rate.

7. Void, set-off and suspension

These are the remedies we hold, and we state them in full rather than reserving “all rights”.

  • Void of suspect Conversions. We may void any Conversion, and the Reward attached to it, where we reasonably believe it breaches these Terms or is not a genuine purchase by a referred customer. A void is a decision of ours, and you can dispute it within 7 days under section 8. If we restore a Reward after a Dispute, we pay it with your next Payout.
  • Set-off against future Earnings. Any amount you owe us, such as a Reward we paid for a Conversion later found to be abusive, may be deducted from Earnings we owe you now or later. If you owe us more than we owe you, we deduct the difference from future Earnings before any Payout.
  • Suspension and termination for fraud. Where we establish fraud, we may suspend or terminate your account. We owe no Reward for any Conversion the fraud affected, and we may set off the loss the fraud caused us against other Earnings. We act on established fraud, not on suspicion. A flag that has not been decided has no effect on anything.
  • Warning and ban, for abuse short of fraud. A first established abuse that is not fraud gets a warning, stating what it was; a repeat costs the account. Established fraud gets no warning: it is dealt with under the paragraph above, on the first occasion.

A Business may see and comment on flags raised against its own Campaigns. The decision is ours alone, for Businesses and Promoters alike.

8. Disputes

A Promoter can dispute a void within 7 days of being told about it. A Business can dispute a certified Conversion before it qualifies, which freezes it until we rule. If we uphold the Dispute, the Conversion does not qualify, so we charge no Price and owe no Reward for it.

Only our own decisions are disputable. A Clawback that follows a refund, a chargeback or a payment the provider marked as fraudulent is not, because it is not a decision we took.

We answer within five working days. Our inaction never costs a Promoter their Reward. A Business that has had two Disputes rejected within 90 days stops being able to freeze Conversions by opening more.

During this pilot our ruling is final and there is no further review inside the platform. Nothing here takes away a right you have by law.

9. What a Business buys, and how it pays

Before a Campaign goes live, the Business pays its Campaign Budget. Automatic top-ups, if turned on, add to it within the monthly cap the Business sets. During the pilot, the unused Campaign Budgets of a Business cannot exceed $2,000 in total, and a Business cannot prepay more than $2,000 in one day.

A Business sets the Price and the Campaign Budget of each of its Campaigns. We set the Rewards and pay them from our own funds. A Business does not choose, approve or direct any payment to any Promoter.

When a Conversion qualifies, we deduct its Price from the Campaign Budget. Each month we send the Business an invoice for the Conversions that qualified that month, at their full Price.

Once a Conversion has qualified, its Price is final. Nothing that later happens to the customer’s purchase gives the Business any money back. That is the trade-off for choosing the Holding Period.

If a payment for a Campaign Budget is reversed or charged back, the Business still owes us the Price of every Conversion that qualified, and we may pause its Campaigns until it pays.

A Business can pause, resume or end any of its Campaigns whenever it wants. Ending a Campaign is final: it cannot be resumed.

When a Campaign ends, for whatever reason, we refund the part of its Campaign Budget that no Conversion can still use, and the rest as the Holding Periods of its last Conversions end. When a Business closes its account, we do the same for all its Campaigns. We refund within 10 business days, only to the Business, and only to the payment method it paid with. If that is no longer possible, we refund to another account in the Business’s name. We do not refund part of the Budget of a live Campaign, and we never pay any part of a Campaign Budget to anyone else.

We do not accept Campaigns for mortgages, real estate or real estate settlement services, credit, insurance, securities or other investments, legal services, health care services, prescription drugs or medical devices, or any other product or service for which the law restricts paying anyone for sending it customers. We may decline any Campaign. We may review the first Campaign of each Product before it is published, and again after the Product’s website changes. We check that the Product is not in a sector we exclude and, the first time a Business publishes, that it is not subject to sanctions.

A Business states honestly what counts as a Conversion, declares a refund window that matches the policy it actually applies, and is responsible for the statements its Campaign copy invites Promoters to repeat. Prices, Campaign Budgets and Rewards are always in USD, whatever currency the Business charges its own customers in.

A Business can ask for the “Verified Business” badge. It is optional and never a condition of publishing a Campaign. A request costs $20, all fees included, charged once when you submit it. A verified Business can then add further domains at no charge, and we check each one the same way. The badge certifies only that we checked the Business’s legal existence and that it controls the domain the badge shows, and a Campaign shows it only when that domain covers the website of the Product the Campaign is for. It says nothing about the Product, its Campaigns or the Business’s conduct.

If we reject a request we refund the $20 in full. If the Business no longer controls a domain, we remove that domain and the badge disappears from the Campaigns it covered. We revoke the badge as a whole only for a cause that concerns identity, which is a sanctions flag, a change of legal name or country, or established fraud. We refund nothing when we remove a domain or revoke a badge. A Business whose request was rejected or whose badge was revoked can ask again, and pays again; a removed domain can be added again at no charge.

10. Payment integrations

Each Product takes payment through one payment integration, chosen when the Product is created and fixed from then on: Stripe, Lemon Squeezy or RevenueCat.

To connect it, the Business gives us a key to its account with that provider. We use the key only for what this section describes: to read the payments, refunds and chargebacks of the Product and, where the integration needs one, to create our own webhook in that account and remove it once the Product is archived. We never use it to create, change or refund a payment.

We certify as Conversions only the payments the integration lets us read, as set out below for each one. A payment made any other way is not a Conversion, whatever link brought the customer.

A Business must not deliberately send customers referred through Namesworn to a way of paying we cannot read. That is abuse, and section 7 applies: a warning the first time, the account on a repeat.

For a Product on Stripe we read, with a restricted key that can only read, the Checkout Sessions of the Stripe account and the invoices and charges that follow from them. We certify only payments made with a Checkout Session: a Stripe-hosted Checkout page, embedded Checkout, the Payment Element on a Checkout Session, or a Payment Link. A payment the Business creates any other way, such as a PaymentIntent made with Elements or with Stripe’s mobile PaymentSheet, does not become a Conversion.

For a Product on RevenueCat we read the purchases made through the App Store, Google Play and RevenueCat Billing. The key the Business gives us can read what RevenueCat holds for the Product and change only its integrations, which is how we create our webhook there. The Business’s app writes the reference of the link a customer arrived through as an attribute of that customer, and it counts if it was written in the 30 days before the purchase. A Campaign for such a Product declares a refund window of at least 14 days.

Some refunds never reach us: one Google Play grants without revoking the purchase, and one of an earlier period after the purchase has renewed. Refund through RevenueCat, or revoke the purchase when you refund. Otherwise, dispute the Conversion under section 8 before it qualifies, because once it has qualified its Price is final.

A Business is responsible for what its app does, including the privacy disclosures the App Store and Google Play ask for, and any permission or consent that Apple, Google or the law requires, App Tracking Transparency included where it applies.

For a Product on Lemon Squeezy we read the Orders of the store the Business connects it to. Lemon Squeezy has no key that can only read, so the key we are given has full access, and we use it only as this section says. We create our own webhook on that store. The reference of the link a customer arrived through reaches us only in our webhook’s notification of the Order. An Order whose notification never reaches us is not a Conversion; when we notice one, we ask the Business to send it again from Lemon Squeezy.

We may stop supporting an integration. We tell the Businesses that use it at least 30 days in advance. From then on its Products accept no new Campaigns, and when support ends their live Campaigns end, with the refund section 9 describes.

11. Tracking, cookies and analytics

A tracking link resolves through us: we record a click and send the visitor to the Business’s own destination, adding an attribution reference to the address. If a Business declares the Android app of a Product, a click from an Android device may be sent to the app’s page on Google Play instead, with the reference in the address.

A Business that installs our optional snippet on its own site stores that reference in a first-party cookie on its own domain, for up to 30 days, and reports page views back to us. Attribution is last click and best effort: it is a measurement, and it never by itself establishes that a Reward is owed.

Obtaining any consent that a Business’s own jurisdiction requires for that cookie and that snippet is the Business’s responsibility, on the Business’s own site. We do not collect that consent for you, and installing the snippet is a choice you make.

A Business that connects a payment integration tells its customers, in its own privacy notice, that it shares with us the payment data our Privacy Policy describes, for attribution and to detect abuse.

Funnel Event analytics are included free for every Business during the pilot, badged “Included in the pilot”. They name nobody: an IP address and a user agent are stored only as keyed hashes, kept only to detect abuse, and are never shown in any dashboard. What that record does and does not hold about a visitor is set out in the Privacy Policy. What we price after the pilot is something we will say before we do it.

12. Taxes

You are responsible for your own taxes on what you earn or spend here.

Where the law requires it, we report what we pay Promoters to tax authorities, including in the United States, the European Union and Canada, and we collect the information we need for it before our first Payout. For Promoters in the United States, we issue Form 1099-NEC and withhold tax where the law requires it. A Business in the European Economic Area, the United Kingdom or Switzerland gives us a VAT or GST identifier at onboarding.

13. Reporting abuse

Anyone can report a tracking link, whether or not they have an account here: add /report to the end of any Namesworn link, or use the report form linked at the foot of every page.

Reports go into the same review queue as our own detection signals. We read them, they are a signal and not a verdict, and nothing happens to anybody’s Reward until we decide.

14. Liability

Namesworn is provided as it is. We do not guarantee that a Campaign will earn you anything, that a Business will be worth promoting, or that attribution will catch every customer you sent — the last of these is a known limit of how the web works, not a defect we are hiding.

We are not liable for what a Business sells. A Promoter is responsible for what they say while promoting, and a Business for what its Campaign copy states. We are not liable for indirect or consequential loss. Nothing here excludes liability that cannot lawfully be excluded.

15. Changes and ending

You can close your account at any time by writing to [email protected]. When a Promoter closes their account, we pay all Earnings we owe, whatever the amount, once the Holding Periods of their Conversions have ended, unless section 7 applies. When a Business closes its account, we refund its unused Campaign Budgets as section 9 describes.

We may change these Terms. Every version carries its own date, and when we change them we show you what changed and we ask you to accept it. Carrying on using Namesworn does not count as accepting a change; accepting it does.

A material change, meaning one that changes what you owe, earn or risk here or what you may do, is announced by email at least 30 days before it takes effect. Until you accept it, the version you accepted keeps applying to you. From the day it takes effect, until you accept it, you cannot activate a Campaign, publish one or prepay one, automatic top-ups included. What you already have running carries on under the version you accepted, and you can still see your account, follow your Disputes and receive what we owe you.

A change of wording that leaves all of that as it was takes effect when it is published. We still show it to you and ask you to accept it, and nothing waits on your answer.

These Terms are governed by the law of the State of Wyoming, and disputes that the process in section 8 does not resolve go to its courts.
